Terms of Service

Agreement

These Terms of Service ("Terms") are a legal agreement between you and Monao ("Monao", "we", "us", "our"). They govern your access to and use of the public marketing website at monao.in (the "Site") and the Monao cloud platform, including the web application and related APIs (for example at app.monao.in) (together with the Site, the "Services"). By accessing or using the Services, you agree to these Terms. If you are accepting on behalf of a company or other entity, you represent that you have authority to bind that entity.

Eligibility and accounts

• You must be at least the age of majority in your jurisdiction to enter into these Terms.
• You must provide accurate registration information and keep it up to date.
• You are responsible for safeguarding credentials and for activity under your account, including actions by admins and invited users in your workspace.

Use of the Services

You agree not to:

• Violate applicable law or third-party rights.
• Send spam, deceptive, defamatory, harassing, or illegal content through the Services or connected channels.
• Attempt to probe, scan, or test the vulnerability of the Services, breach security or authentication measures, or access data or systems you are not authorized to use.
• Reverse engineer the Services except where such restriction is prohibited by law.
• Use the Services to build a competing product or to resell access except as expressly permitted.

WhatsApp and messaging

Messaging features rely on the WhatsApp Business Platform / Meta services. You are solely responsible for compliance with Meta's terms, commerce policies, template rules, and applicable telecommunications and marketing laws (including consent and opt-out requirements). Monao does not control Meta's delivery, pricing, or acceptance of messages. You acknowledge that Meta may require a valid payment method and business verification on the Meta side independently of Monao billing.

Shopify

If you connect a Shopify store, you authorize Monao to access and use Shopify data only as needed to provide the features you enable. Your relationship with Shopify remains governed by your agreement with Shopify.

Fees, subscriptions, and wallet

Paid features may include recurring subscription fees, optional add-ons (such as extra numbers or seats), and a prepaid "messaging wallet" balance used for usage beyond the monthly outbound quota included in your plan, as described in-product and at checkout. Fees are exclusive of applicable taxes unless stated otherwise. We may use payment processors such as Stripe (subscriptions and customer portal where offered) and Razorpay (certain plan payments and wallet top-ups where offered). You authorize us and our processors to charge your selected payment method.

Unless required by applicable law or expressly stated at purchase, fees are non-refundable. Downgrades take effect according to the billing settings shown in the product. If you fail to pay, we may suspend or limit access to paid features.

Intellectual property

Monao and its licensors retain all rights in the Services, the Site, and related branding and content, subject to any open-source components under their respective licenses. We grant you a limited, non-exclusive, non-transferable right to access and use the Services during your subscription in accordance with these Terms.

Third-party services

The Services integrate with third parties (including Meta, Shopify, Stripe, and Razorpay). Your use of those services may be subject to separate terms and privacy policies. Monao is not responsible for third-party outages, policy changes, or actions outside our reasonable control.

Disclaimers

Except where prohibited by law, the Services and Site are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

Limitation of liability

To the fullest extent permitted by applicable law, Monao and its suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, or data, arising out of or related to these Terms or the Services, even if advised of the possibility of such damages. Our aggregate liability for all claims arising out of or related to the Services in any twelve-month period is limited to the greater of (a) the fees you paid to Monao for the Services in that period or (b) one hundred U.S. dollars (or the equivalent in local currency), except where liability cannot be limited by law.

Indemnity

You will defend, indemnify, and hold harmless Monao and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your content or messages, your violation of these Terms, or your violation of third-party rights or law.

Suspension and termination

We may suspend or terminate access to the Services if you materially breach these Terms, if we are required to do so by law, or to protect the security or integrity of the Services. You may stop using the Services at any time. Provisions that by their nature should survive termination (including payment obligations, disclaimers, limitations of liability, and indemnity) will survive.

Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law principles, subject to mandatory consumer protections in your jurisdiction. Courts at Bengaluru, India, shall have exclusive jurisdiction for disputes arising from these Terms, except where prohibited by law.

Marketing materials

Screenshots, metrics, and descriptions on the Site are illustrative and may not reflect your workspace. Features and limits are subject to change; in-product notices and checkout screens control for your account where they differ from marketing copy.

Changes to these Terms

We may modify these Terms by posting an updated version on this page with a new "Last updated" date. If a change is material, we may provide additional notice (for example by email or in-product notification). Continued use after the effective date constitutes acceptance of the revised Terms.
